To deliver quality outcomes, clients agree to provide timely feedback, required business information, access to relevant systems, brand assets, and decision-maker availability throughout the project lifecycle.
Delays caused by missing inputs, unclear requirements, or late approvals may affect delivery schedules and may require a revised timeline or additional fees.
Fees are quoted in the currency stated in the proposal or invoice. Unless otherwise agreed in writing, invoices are payable according to the payment schedule defined in the project agreement.
Late payments may pause active work, delay releases, or incur reactivation fees. Clients are responsible for applicable taxes, bank charges, and transfer fees unless stated otherwise.
Unless otherwise agreed in writing, upon full payment of all fees due under the relevant agreement, ownership of the final custom deliverables created specifically for the client will transfer to the client, excluding SquareCod's pre-existing tools, frameworks, libraries, templates, and reusable components.
SquareCod retains the right to use general know-how, non-confidential techniques, and anonymized portfolio references developed during the engagement. We may display completed work in our portfolio with client approval where required.
Both parties agree to protect confidential business, technical, and financial information shared during discussions or project delivery. Confidential information may be disclosed only to team members or contractors who need it to perform the work and are bound by similar confidentiality obligations.
Confidentiality obligations do not apply to information that is publicly available, independently developed, or lawfully received from a third party without restriction.
SquareCod warrants that services will be performed with reasonable skill and care consistent with industry standards for software development agencies.
Our website and any pre-release materials are provided "as is" without warranties of uninterrupted availability or fitness for a particular purpose beyond what is expressly stated in a signed service agreement.
To the fullest extent permitted by law, SquareCod shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
Our total liability arising from any claim related to a specific project shall not exceed the total fees paid by the client for that project during the six (6) months preceding the event giving rise to the claim, unless a different cap is stated in the signed agreement.
Either party may terminate an engagement according to the termination clause in the applicable service agreement. Where no separate agreement exists, either party may end discussions before contract execution without liability.
Upon termination, the client remains responsible for fees owed for work completed and approved expenses incurred up to the termination date.
Projects may rely on third-party hosting providers, APIs, payment gateways, analytics tools, libraries, or licensed software. SquareCod is not responsible for outages, policy changes, pricing changes, or discontinuation of third-party services outside our control.
Clients are responsible for maintaining their own third-party accounts, licenses, and renewals unless explicitly included in the project scope.
These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-law principles. Disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the competent courts in Lahore, Pakistan, unless otherwise agreed in writing.
We may update these Terms from time to time. The revised version will be posted on this page with an updated effective date. Continued use of the website after changes are posted constitutes acceptance of the revised Terms.
